Daily Commute Terms of Service

1. Introduction

Welcome to Daily Commute.

These Terms of Service ("Terms") govern your access to and use of the Daily Commute service, website, applications, emails and related services (collectively, the "Service").

By creating an account, starting a free trial, subscribing to the Service, or otherwise using the Service, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the Service.

These Terms apply to both consumers and business users unless expressly stated otherwise.

Throughout these Terms, "Zamforge", "we", "our" and "us" refer to Zamforge BV.

"You" and "your" refer to the individual or legal entity using the Service.

3. Definitions

For the purposes of these Terms:

Account means your registered Daily Commute account.

AI means artificial intelligence technologies used by the Service, whether developed by Zamforge or supplied by third-party providers.

Briefing means an AI-generated personalized audio and/or written summary produced by the Service.

Commute Slot means a scheduled weekday delivery time selected by the user.

Content means all text, audio, graphics, software, metadata, summaries, reports, transcripts and other materials available through the Service.

Dossier means a personalized topic, subject or area of interest configured by the user for ongoing monitoring.

Examples include:

  • companies
  • competitors
  • industries
  • technologies
  • financial markets
  • products
  • regulations
  • projects
  • research topics

Free Trial means any promotional trial period offered before paid billing begins.

Personal Data has the meaning given in the GDPR.

Processor means a third party processing personal data on behalf of Zamforge.

Service means the Daily Commute platform, including all websites, APIs, applications, generated briefings, dashboards, emails and related functionality.

Subscription means a recurring paid plan providing access to the Service.

User Content means information submitted by you, including Dossiers, preferences, prompts, notes and other materials you provide.

4. About the Service

Daily Commute is an AI-powered intelligence briefing service.

The Service allows users to create personalized Dossiers covering topics they wish to follow.

For each scheduled Briefing, the Service may:

  • retrieve information from publicly available sources;
  • retrieve information from user-configured sources where supported;
  • organize and prioritize information;
  • summarize relevant developments;
  • generate AI-produced content;
  • convert content into speech;
  • deliver a listening link by email before the selected commute.

The Service is designed to assist users in efficiently staying informed.

Daily Commute provides informational assistance only.

The Service does not provide legal, medical, financial, tax, investment or other regulated professional advice.

5. Eligibility

You may use the Service only if:

  • you are at least 18 years old or have legal capacity under applicable law;
  • you are legally permitted to enter into binding contracts;
  • your use complies with applicable laws.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

6. Accounts

Access to Daily Commute requires an Account.

Authentication is performed using passwordless magic-link authentication.

You are responsible for:

  • maintaining access to your email account;
  • ensuring your contact information remains accurate;
  • preventing unauthorized access to your Account.

You must promptly notify Zamforge if you believe your Account has been compromised.

You may not:

  • impersonate another person;
  • create fraudulent accounts;
  • use automated methods to create accounts;
  • share your Account in violation of your Subscription.

We may suspend or terminate Accounts used in violation of these Terms.

7. Subscription Plans

Daily Commute is offered as a recurring subscription service.

Unless otherwise stated at the time of purchase:

  • Subscription price: €99 per month
  • Billing frequency: monthly
  • Payment processor: Stripe or its successor
  • Currency: Euro (€)

Applicable taxes may be added where required by law.

Subscription fees are charged in advance for each billing period.

8. Free Trial

We may offer a seven (7) day free trial for eligible users.

The Free Trial automatically converts into a paid Subscription unless cancelled before the trial ends.

Only one Free Trial may be used per person unless expressly permitted.

We reserve the right to modify or discontinue promotional offers at any time.

9. Billing

Subscriptions automatically renew at the end of each billing period until cancelled.

By subscribing, you authorize Zamforge and its payment processor to charge the applicable subscription fee using your chosen payment method.

If payment cannot be processed, we may:

  • retry the payment;
  • suspend access;
  • restrict functionality;
  • terminate the Subscription after reasonable notice.

You remain responsible for all outstanding fees.

10. Cancellation

You may cancel your Subscription at any time through your account settings or any other method we make available.

Cancellation prevents future renewals.

Cancellation does not affect charges already incurred.

After cancellation, access continues until the end of the current paid billing period unless these Terms provide otherwise.

No partial refunds are provided for unused portions of a billing period except where required by applicable law.

11. Price Changes

We may modify Subscription pricing from time to time.

Price increases will become effective no earlier than thirty (30) days after notice has been provided.

Notice may be provided by:

  • email;
  • dashboard notification;
  • website announcement; or
  • other reasonable electronic communication.

If you do not agree to the new price, you may cancel before the new pricing takes effect.

Continued use after the effective date constitutes acceptance of the updated pricing.

12. Consumer Right of Withdrawal

If you are a consumer residing within the European Union, you may have a statutory right to withdraw from a distance contract under applicable consumer protection laws.

By starting your Subscription and requesting immediate access to the digital Service during any applicable withdrawal period, you expressly request immediate performance of the Service.

You acknowledge that digital services begin immediately after activation.

Where applicable law provides that your withdrawal right is lost once performance has begun with your prior express consent and acknowledgement, that rule shall apply.

Nothing in these Terms limits mandatory consumer rights under applicable law.

13. Acceptable Use

You agree to use the Service lawfully, responsibly and in accordance with these Terms.

You must not:

  • violate any applicable law or regulation;
  • use the Service to infringe the rights of others;
  • submit unlawful, defamatory, fraudulent or misleading content;
  • attempt to gain unauthorized access to the Service or its infrastructure;
  • interfere with the operation or security of the Service;
  • reverse engineer, decompile or attempt to discover the source code of the Service except where expressly permitted by applicable law;
  • use automated scripts, bots or scraping tools to access the Service unless expressly authorized by Zamforge;
  • circumvent subscription limits or technical restrictions;
  • use the Service to generate spam, phishing campaigns or malicious content;
  • use the Service to violate intellectual property rights;
  • use the Service in a manner that could damage, disable or impair its operation.

You remain responsible for all activity conducted through your Account.

14. User Content

You may submit information to personalize the Service, including Dossiers, preferences, notes and other content.

You retain ownership of your User Content.

By submitting User Content, you grant Zamforge a worldwide, non-exclusive, royalty-free licence for the duration necessary to:

  • operate the Service;
  • process your requests;
  • generate personalized Briefings;
  • improve service quality;
  • maintain security;
  • comply with legal obligations.

This licence ends when the relevant User Content is deleted, except where retention is required by law or for legitimate business purposes described in our Privacy Policy.

You represent that you have the necessary rights to submit your User Content.

You must not upload content that infringes the rights of third parties.

15. AI Technology

Daily Commute uses artificial intelligence technologies to generate personalized Briefings.

The Service may use one or more AI systems developed by Zamforge and/or provided by third-party technology providers.

AI is used for activities including:

  • information retrieval;
  • information ranking;
  • summarization;
  • prioritization;
  • personalization;
  • natural language generation;
  • speech synthesis;
  • translation where applicable.

AI-generated output is probabilistic.

The same inputs may produce different outputs over time.

Although we strive to provide useful and accurate Briefings, AI-generated content may contain inaccuracies, omissions, outdated information or incorrect interpretations.

You are responsible for independently verifying information before relying upon it.

16. Personalization

Daily Commute generates personalized Briefings using information including:

  • your selected Dossiers;
  • commute schedule;
  • language preferences;
  • account settings;
  • previous interactions with the Service;
  • other preferences you configure.

Personalization is intended to improve relevance.

It does not constitute human editorial review or professional advice.

You may modify or remove your Dossiers at any time through the Service.

17. Continuous Improvement

Daily Commute is an evolving service.

To improve quality, reliability, security and performance, Zamforge may modify the Service at any time.

This may include changes to:

  • artificial intelligence systems;
  • model providers;
  • language models;
  • prompts;
  • retrieval methods;
  • ranking algorithms;
  • embeddings;
  • orchestration workflows;
  • speech synthesis engines;
  • synthetic voices;
  • infrastructure;
  • databases;
  • storage architecture;
  • security controls;
  • integrations;
  • user interface;
  • delivery mechanisms;
  • software architecture.

These changes may occur without prior notice where they do not materially reduce the essential functionality of the Service.

Nothing in these Terms guarantees that a particular AI model, provider, voice, technology or implementation will remain available.

18. Third-Party Providers

The Service depends on third-party products and services.

These may include payment providers, hosting providers, email providers, cloud infrastructure providers, artificial intelligence providers and other technology partners.

Third-party providers may change over time.

Zamforge may replace, remove or add providers without notice where reasonably necessary to operate or improve the Service.

The availability of third-party services is outside our reasonable control.

Interruptions affecting those providers may affect the Service.

19. External Sources

Daily Commute may summarize information originating from publicly available sources or sources configured by users.

We do not own most external content used to generate Briefings.

We do not guarantee that external sources are:

  • accurate;
  • complete;
  • current;
  • continuously available;
  • free from errors.

Changes made by third-party publishers may affect generated Briefings.

20. Intellectual Property

The Service and its underlying technology remain the exclusive property of Zamforge and its licensors.

This includes, without limitation:

  • software;
  • source code;
  • databases;
  • prompts;
  • workflows;
  • designs;
  • branding;
  • trademarks;
  • audio generation pipeline;
  • website content;
  • documentation;
  • user interface;
  • compiled datasets.

Except as expressly permitted under these Terms, no intellectual property rights are transferred to you.

21. Generated Briefings

Subject to your compliance with these Terms and payment of applicable Subscription fees, Zamforge grants you a limited, non-exclusive, non-transferable, revocable licence to use generated Briefings for your own internal and personal or business purposes.

Unless expressly permitted in writing, you may not:

  • resell generated Briefings;
  • operate a competing service using generated output;
  • redistribute generated Briefings on a commercial basis;
  • remove proprietary notices;
  • present generated Briefings as official publications issued by Zamforge.

Nothing in these Terms transfers ownership of the Service or its underlying technology.

22. Feedback

We welcome feedback, ideas and suggestions regarding the Service.

If you voluntarily provide feedback, you grant Zamforge a perpetual, worldwide, royalty-free, irrevocable licence to use, modify and incorporate that feedback without compensation or attribution.

You are under no obligation to provide feedback.

23. Beta Features

From time to time we may make experimental or beta features available.

Beta features:

  • may be incomplete;
  • may contain defects;
  • may change significantly;
  • may be discontinued at any time.

Unless expressly stated otherwise, beta features are provided "as is" without any additional warranties.

24. Suspension

We may suspend or restrict access to the Service immediately where reasonably necessary, including where:

  • payment has failed;
  • your Account has been compromised;
  • we detect fraud or abuse;
  • use threatens the security or stability of the Service;
  • required by law;
  • required by a competent authority;
  • necessary to protect other users or Zamforge.

Where reasonably possible, we will inform you of the reason for the suspension.

Suspension does not limit any other rights available to Zamforge under these Terms.

25. Availability

We aim to provide a reliable and high-quality Service. However, the Service is provided on a commercially reasonable efforts basis rather than with guaranteed availability.

We do not guarantee:

  • uninterrupted availability;
  • continuous operation;
  • error-free functionality;
  • immediate delivery of Briefings;
  • compatibility with every device, browser or email provider.

Scheduled maintenance, emergency maintenance, software updates, infrastructure changes and third-party service interruptions may temporarily affect the availability of the Service.

Where reasonably practicable, we will provide advance notice of planned maintenance.

26. No Professional Advice

Daily Commute is an informational service.

Generated Briefings are intended to assist users in staying informed about selected topics.

The Service does not provide:

  • legal advice;
  • financial or investment advice;
  • tax advice;
  • accounting advice;
  • medical advice;
  • engineering advice;
  • regulatory advice;
  • professional consulting services.

You remain solely responsible for evaluating information before relying upon it for business or personal decisions.

27. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available."

Zamforge does not warrant that:

  • the Service will always be available;
  • AI-generated output will be accurate, complete or current;
  • every Briefing will contain relevant information;
  • external information sources will remain available;
  • generated summaries will be free from omissions or errors;
  • the Service will meet every user's expectations or specific business objectives.

Artificial intelligence systems are probabilistic technologies and may generate incorrect, incomplete or inconsistent results.

You acknowledge these inherent limitations when using the Service.

Nothing in these Terms excludes warranties that cannot legally be excluded under applicable law.

28. Limitation of Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for:

  • fraud or fraudulent misrepresentation;
  • wilful misconduct;
  • death or personal injury caused by negligence;
  • any liability that cannot lawfully be excluded.

Subject to the above, Zamforge's total aggregate liability arising out of or relating to the Service shall not exceed the total subscription fees actually paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

To the fullest extent permitted by law, Zamforge shall not be liable for any:

  • indirect damages;
  • consequential damages;
  • incidental damages;
  • special damages;
  • punitive damages;
  • loss of profits;
  • loss of revenue;
  • loss of business opportunities;
  • loss of goodwill;
  • loss of anticipated savings;
  • loss of data not caused by our failure to implement appropriate security measures;
  • interruption of business;
  • delays in email delivery;
  • failures of third-party providers;
  • internet outages;
  • inaccuracies in AI-generated output;
  • decisions made in reliance on generated Briefings.

You acknowledge that the subscription price reflects this allocation of risk.

29. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Zamforge, its directors, officers, employees and contractors against claims, losses, liabilities, damages and reasonable costs arising from:

  • your breach of these Terms;
  • unlawful use of the Service;
  • infringement of third-party rights through your User Content;
  • misuse of your Account.

This clause does not apply where the claim results from Zamforge's own negligence or wilful misconduct.

30. Termination

You may terminate your Subscription at any time in accordance with Section 10.

We may suspend or terminate your Account immediately where:

  • you materially breach these Terms;
  • you repeatedly violate acceptable use requirements;
  • continued access creates legal, security or operational risks;
  • payment obligations remain outstanding after reasonable notice;
  • we are legally required to do so.

Termination does not affect rights or obligations that have accrued before termination.

Following termination, we may delete or anonymize User Content in accordance with our Privacy Policy and applicable law.

31. Changes to the Service

We may modify, improve, replace or discontinue any aspect of the Service where reasonably necessary.

This includes changes to:

  • features;
  • user interface;
  • APIs;
  • integrations;
  • infrastructure;
  • delivery methods;
  • AI technologies;
  • model providers;
  • speech synthesis;
  • supported languages;
  • personalization methods.

Where changes materially reduce the core functionality of the Service, we will provide reasonable notice where practicable.

Nothing in these Terms guarantees the continued availability of any specific feature or implementation.

32. Changes to these Terms

We may update these Terms from time to time.

Where changes are material, we will provide reasonable notice before the updated Terms take effect.

Notice may be provided through:

  • email;
  • the Service dashboard;
  • our website; or
  • another appropriate electronic communication channel.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the revised Terms, you must stop using the Service and cancel your Subscription.

33. Privacy

Our collection and processing of personal data is governed by our Privacy Policy v1.1, which forms an integral part of your use of the Service.

Where artificial intelligence is used to process your information, additional details are provided in our AI Transparency Policy v1.0.

Information regarding essential cookies is available in our Cookie Policy v1.0.

34. Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands.

The applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

Nothing in these Terms limits mandatory consumer rights available under applicable law.

35. Dispute Resolution

We encourage users to contact us first so that we can attempt to resolve disputes amicably.

If a dispute cannot be resolved informally, it shall be submitted to the competent courts of the Netherlands, unless mandatory consumer protection laws require otherwise.

Consumers residing within the European Union may also have access to alternative dispute resolution mechanisms available under applicable law.

36. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid provision shall be replaced by a valid provision that most closely reflects its original purpose.

37. No Waiver

Failure by Zamforge to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

Any waiver must be made expressly and in writing.

38. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Zamforge may assign these Terms or transfer its rights and obligations in connection with a merger, acquisition, corporate restructuring or sale of assets.

39. Entire Agreement

These Terms, together with the following documents, constitute the entire agreement between you and Zamforge regarding the Service:

  • Privacy Policy v1.1
  • AI Transparency Policy v1.0
  • Cookie Policy v1.0
  • any pricing or subscription information presented at the time of purchase

They supersede all prior understandings relating to the Service.
